Terms of use for accredited galleries and collectors

1. Identification and purpose

These terms (the «Accreditation Terms») govern access to and use of the area for galleries and collectors of the website cromawards.com (the «Site»), operated by Gextiona Interproducción, S.L. (the «Organisation»), with Spanish tax ID (NIF) B-87967592 and registered address at C/ Francisco Silvela 110, 2º — 28002 Madrid (Spain), contact email galleries@cromawards.com, under the «cromAwards» brand.

Accepting these Terms, through the checkbox provided in the registration form, is an essential requirement to request and keep the accreditation. These Terms complement, and do not replace, the general Terms and conditions of the Site, the Privacy policy and the Cookie policy, which remain equally applicable insofar as they do not conflict with what is set out here.

2. Definitions

«Accreditation»: status granted by the Organisation, after manual review, enabling an art gallery or professional collector to access the features described in these Terms.
«Accredited Entity»: the gallery or collector whose accreditation request has been approved.
«Verified profile»: the public page of each artist gathering their verified credentials, portfolio and track record in the competition, accessible through the unique QR code of the artist.
«Available artists»: directory showing exclusively those artists who have enabled, voluntarily and revocably, the option to be visible to Accredited Entities.
«Mediated messaging»: the internal communication system of the Site, organised in private threads per artist, through which all communication between Accredited Entities and artists is channelled.
«Anonymous mode»: scouting option whereby the Accredited Entity appears before artists only with a generic description (for example, «Accredited art gallery · City · Country»).

3. Accreditation requirements and accuracy of data

Art galleries, collectors and other professionals of the art sector, of legal age and with sufficient legal capacity, may request accreditation. Registration is self-service (with email address and password) and the accreditation is granted after a manual review by the Organisation, which may request additional information or documentation to verify the identity and professional activity of the applicant.

The applicant guarantees that all the data provided (identity, entity represented, specialties by category, city and country) are truthful, accurate and current, and undertakes to keep them up to date. Providing false, inaccurate or misleading data is grounds for denial or immediate revocation of the accreditation.

Access credentials are personal and non-transferable. The Accredited Entity is responsible for their safekeeping and for the use made of its account, and must notify the Organisation without delay of any unauthorised use.

The Organisation reserves the right to deny accreditation requests on justified grounds or where the professional status of the applicant is not sufficiently established.

4. Free nature of the accreditation

The accreditation is free of charge. However, the Organisation reserves the right to introduce in the future economic or other conditions for new accreditations or renewals, which will be communicated at least 30 days in advance; in that case, the Accredited Entity may withdraw from the accreditation at no cost and without any penalty.

cromAwards does not act as agent, representative or commercial intermediary of the artists or the Accredited Entities, and receives no commission for the contacts, commissions or acquisitions that may arise from the use of the platform.

5. Strictly professional use

The accreditation is granted solely and exclusively for professional purposes belonging to the activity of a gallery or collector: discovering artists, assessing works and establishing professional contact through the platform. The following, in particular, is prohibited:

Using the Site for advertising, mass commercial prospecting or data-gathering purposes unrelated to the aforementioned purpose.
Using automated content or data extraction techniques (scraping, crawling or similar).
Assigning, sharing or reselling the access, or allowing its use by third parties outside the Accredited Entity.
Using the information obtained on the platform to build separate databases of artists outside it.

6. «Available artists» directory and visibility of artists

The «Available artists» directory shows only those artists who have given their consent (opt-in) to be visible to Accredited Entities. Such consent is revocable at any time, and therefore the Accredited Entity acknowledges and accepts that any artist may cease to appear in the directory, and cease messaging, without prior notice and without this generating any right or claim.

7. Intellectual property of the works

Artists retain at all times full ownership and authorship of their works. The display of works on the Site is covered exclusively by the promotional dissemination licence granted by the artist in the competition rules.

It is expressly prohibited to download, copy, reproduce, transform, publicly communicate or distribute the works, or images of the works, outside the platform, by any means and on any medium, without the prior and express permission of the artist holding the rights. Viewing the works within the Site is authorised only for the internal professional assessment belonging to the purpose of the accreditation.

8. Communication exclusively through the platform

All communication between the Accredited Entity and the artists shall take place exclusively through the Mediated messaging of the Site, in private threads per artist. The platform never shares the email addresses or other direct contact details of the artists with the Accredited Entities, nor vice versa; notices of new messages are sent by email to each party without revealing the details of the other.

Attempting to circumvent the platform messaging is prohibited, including the insistent request of direct contact details for that purpose, whenever either party refuses to provide them. In case of mutual agreement, both parties may contact each other freely outside the platform, at which point any responsibility of cromAwards and Gextiona Interproducción regarding data protection or any other matter arising from that communication shall end. Either party may definitively close a conversation; the closure is binding and the Accredited Entity may not reopen contact with that artist through the platform.

9. Anti-insistence rule

A symmetric 7-day anti-insistence rule applies: if one party does not reply to a message, the other may not send a new message until 7 calendar days have elapsed since the last one sent. The system may enforce this rule automatically. Repeated non-compliance, or any conduct of harassment or undue pressure towards artists, is grounds for revocation of the accreditation.

10. Anonymous mode

The Accredited Entity may choose to scout in Anonymous mode, appearing before artists only with a generic description of its type of entity, city and country. Anonymous mode is not enforceable against the Organisation: the real identity of the Accredited Entity is always known and verified by the Organisation, which may deactivate Anonymous mode or disclose the identity where necessary to comply with legal obligations, requests from authorities or well-founded claims.

Anonymous mode may not be used to circumvent a conversation closure, the anti-insistence rule or any other obligation under these Terms.

11. Notices and email digest

The Accredited Entity may receive an email digest of directory updates, with configurable frequency (daily, weekly, fortnightly, monthly or never), in addition to the operational notices of the messaging system. The configuration may be changed at any time from the account itself.

12. Personal data protection

The processing of the personal data of natural persons linked to the Accredited Entity (representatives and contact persons) is governed by the Privacy policy of the Site, which the Accredited Entity declares to have read.

Regarding the personal data of artists accessed by the Accredited Entity through the platform (artistic name, verified profile, content of the messaging threads), the Accredited Entity undertakes to use them exclusively within the platform and for the professional purpose described in clause 5, refraining from extracting them, storing them externally, transferring them to third parties or using them for marketing purposes. The Accredited Entity shall be the independent controller with respect to any processing it initiates outside the platform, with or without the consent of the artist.

13. Revocation and suspension of the accreditation

The Organisation may precautionarily suspend or revoke the accreditation, upon justified communication, in case of breach of these Terms and, in particular, for: falsehood or inaccuracy of the data; non-professional or abusive use; unauthorised downloading or distribution of works; attempts to circumvent the mediated messaging, conversation closures or the anti-insistence rule; harassment of artists; or risk to the security of the platform. In serious or urgent cases the suspension may be immediate, without prejudice to subsequent communication.

The Accredited Entity may withdraw from its accreditation at any time by requesting it at galleries@cromawards.com or from its account. Revocation or withdrawal entails the loss of access to the directory and the messaging, without any right to compensation, and does not affect the obligations that by their nature must survive (in particular, clauses 7, 8 and 12).

14. Liability

The Organisation provides a professional discovery and contact tool, but does not guarantee any result (number of available artists, replies, agreements or transactions). The relationships, commissions, acquisitions or contracts that the parties may conclude outside the platform are entered into exclusively between the Accredited Entity and the artist, under their sole responsibility, without any intervention, guarantee or commission from the Organisation.

The Site availability and liability limitation clauses of the general Terms and conditions also apply.

15. Amendments

The Organisation may amend these Terms for legal, technical or operational reasons. Substantial amendments will be communicated to the Accredited Entities at least 15 days in advance by email or by means of a notice in the account. Continued use of the accredited area after the entry into force implies acceptance of the updated version; otherwise, the Accredited Entity may withdraw from the accreditation at no cost.

16. Governing law and jurisdiction

These Terms are governed by Spanish law. For any dispute, and to the extent that the Accredited Entity acts in the exercise of a professional or business activity, the parties submit to the Courts and Tribunals of the city of Madrid, expressly waiving any other forum that might correspond to them. If, exceptionally, the accredited person had the legal status of consumer, the mandatory forum applicable under consumer regulations shall apply.
